Paula D. Miller represents publicly and privately held companies with respect to debt and equity securities offerings and private placements, mergers and acquisitions, and general business matters. She also represents investment banking firms and venture capitalists in connection with offerings of debt and equity securities. She provides counsel to clients with respect to various obligations arising under federal securities laws, including general disclosure requirements and periodic reporting obligations.
Ms. Miller’s experience extends into many industries, including healthcare, software, and biotechnology. Her practice benefits from her background in business and economics. Prior to becoming an attorney, she worked for the U.S. Treasury Department as an economist in the area of corporate taxation. During law school, she served as a law clerk intern for the Honorable Diana G. Motz of the U.S. Fourth Circuit Court of Appeals.
